Please read these Terms of Use ("Terms", "Terms and Conditions" or "Agreement") carefully before accessing or using the website, applications, APIs, software platforms, tools, plugins, extensions, documentation and other services operated or made available by SCOFIT FINTECH SERVICES PRIVATE LIMITED ("Scofit", "Company", "we", "us" or "our").

Scofit provides technology infrastructure, software, APIs and related services that may include identity verification, KYC and KYB services, document processing, financial information and intelligence, credit and risk-related services, lending technology, digital execution, eSign/eNACH-related services, collections and other technology-enabled financial workflows ("Services").
The individual or legal entity accessing or using the Platform or Services is referred to as the "Customer", "User", "you" or "your".
These Terms apply to all visitors, users, customers, businesses, partners and other persons who access or use the Platform or Services.
By accessing or using the Platform or Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use the Platform or Services.
1. Definitions
For purposes of these Terms:
"Platform" means Scofit's websites, applications, APIs, software, developer portals, dashboards, tools, plugins, extensions, documentation and related technology infrastructure.
"Services" means the products, APIs, technology services, verification services, financial-data services, software and other services made available by Scofit from time to time.
"Customer Data" means information, data, documents or other content submitted, transmitted or made available by the Customer through the Platform or Services.
"API" means an application programming interface made available by Scofit to enable integration with the Services.
"Third-Party Services" means services, information, data, software, infrastructure or technology provided by third parties and made available through or in connection with the Platform or Services.
2. Registration and Accounts
Certain Scofit Services may require you to create an account or obtain credentials.
Where registration is required, you agree that:
- All information provided by you is accurate, complete and current;
- You will update information when necessary to keep it accurate;
- You will maintain the confidentiality of your account credentials;
- You will not share credentials with unauthorised persons;
- You will notify Scofit promptly of any suspected unauthorised access or security breach;
- You will be responsible for activities conducted through your account;
- You will use the Platform only for lawful purposes;
- You will comply with applicable laws and regulations; and
- You will not create an account for another person without appropriate authority.
Where accounts are created or authenticated through OTP, email, third-party authentication or other mechanisms, you authorise Scofit to use such mechanisms for authentication and account management.
Scofit reserves the right to suspend or terminate accounts where it reasonably believes that an account has been created fraudulently, is being misused, violates these Terms or creates security, legal or regulatory risk.
3. Business and Enterprise Users
If you access or use the Services on behalf of a company, business, partnership, LLP, institution or other legal entity:
- You represent that you are authorised to bind that entity;
- "You" and "Customer" shall include that entity;
- The entity shall be responsible for the acts and omissions of its authorised users;
- The entity shall ensure that its users comply with these Terms; and
- The entity shall be responsible for all information, data and instructions submitted through its account.
4. Use of Services
Scofit grants you a limited, non-exclusive, non-transferable and revocable right to access and use the Platform and Services for legitimate business or personal purposes for which the relevant Service is made available.
You agree to use the Services only in accordance with:
- These Terms;
- Applicable laws and regulations;
- Applicable product-specific terms;
- Documentation;
- API specifications;
- Usage limits;
- Security requirements; and
- Instructions provided by Scofit.
Scofit may impose reasonable usage limits, rate limits, technical restrictions or other controls depending on the Service.
5. API Usage
Where Scofit provides APIs, you agree to:
- Use API credentials only for authorised purposes;
- Keep API keys, tokens and credentials confidential;
- Not share API credentials with unauthorised third parties;
- Not attempt to bypass rate limits or security controls;
- Not reverse engineer the APIs;
- Not use APIs to develop unlawful or prohibited services;
- Not overload, disrupt or interfere with the API infrastructure;
- Comply with applicable API documentation;
- Process API responses responsibly; and
- Use API data only for authorised and lawful purposes.
You are responsible for implementing appropriate security controls within your own systems when integrating with Scofit APIs.
You must not expose secret API credentials in client-side applications, public repositories, browser code or other publicly accessible locations.
Scofit may suspend API access where it reasonably believes that API usage presents security, fraud, operational, legal or regulatory risks.
6. Customer Data
You retain ownership of Customer Data submitted by you, subject to the rights necessary for Scofit to provide the Services.
You represent and warrant that:
- You have the necessary rights and authority to submit Customer Data;
- You have obtained all permissions, consents and authorisations required by applicable law;
- The Customer Data does not unlawfully infringe the rights of any third party;
- You will not knowingly submit malicious code or unlawful content; and
- Your use of Customer Data through the Services complies with applicable laws and regulations.
You grant Scofit a limited right to access, process, transmit, store and otherwise use Customer Data to the extent reasonably necessary to provide, maintain, secure, support and improve the Services, subject to the Privacy Policy, applicable agreements and applicable law.
7. Personal and Financial Information
Certain Services may process sensitive or regulated information, including identity information, financial information, banking information, credit information, employment information, business information and other personal information.
Where required, the Customer is responsible for obtaining appropriate consent, authorisation or other lawful basis before submitting such information to Scofit.
Scofit may process such information in accordance with:
- The applicable Service requirements;
- The Privacy Policy;
- Applicable contractual arrangements;
- Applicable data protection requirements; and
- Applicable laws and regulations.
The Customer shall not use the Services to process information in a manner that is unlawful or inconsistent with the purpose for which the information was collected.
8. Third-Party Data and Services
Certain Scofit Services may depend on information, infrastructure, APIs, databases, verification systems or other services provided by third parties.
Third-party services may be subject to:
- Availability limitations;
- Technical restrictions;
- Separate terms;
- Separate privacy policies;
- Data accuracy limitations;
- Maintenance;
- Regulatory requirements; and
- Changes outside Scofit's control.
Scofit does not guarantee the availability, accuracy, completeness or uninterrupted operation of third-party services.
Where a Service relies on third-party information, Scofit may display or transmit information received from such third parties without independently guaranteeing its accuracy or completeness.
9. Prohibited Activities
You must not use the Platform or Services to:
- Violate any applicable law or regulation;
- Commit fraud or facilitate fraudulent activity;
- Impersonate another person or entity;
- Access another user's account without authorisation;
- Upload viruses, malware or malicious code;
- Attempt to gain unauthorised access to Scofit systems;
- Circumvent authentication or security mechanisms;
- Scrape, harvest or systematically collect information from the Platform without written permission;
- Use automated bots or other mechanisms to abuse the Platform;
- Reverse engineer, decompile or disassemble the Platform;
- Attempt to discover source code or underlying algorithms;
- Interfere with the operation or availability of the Platform;
- Conduct penetration testing without prior written authorisation;
- Use the Services for unlawful discrimination;
- Use the Services for unlawful surveillance;
- Resell or commercially exploit the Platform without written permission;
- Misrepresent Scofit's Services;
- Use Scofit's branding or intellectual property without authorisation; or
- Encourage another person to violate these Terms.
Scofit may immediately suspend access where it reasonably believes that prohibited activity has occurred or may occur.
10. Intellectual Property Rights
All rights, title and interest in and to the Platform, Services, software, technology, APIs, documentation, designs, trademarks, logos, graphics, content and other intellectual property owned or licensed by Scofit remain the property of Scofit or the applicable third-party licensors.
Nothing in these Terms grants you ownership of Scofit's intellectual property.
Except as expressly permitted under these Terms, you must not:
- Copy the Platform;
- Modify the Platform;
- Create derivative works;
- Reproduce Scofit's technology;
- Reverse engineer the Platform;
- Decompile or disassemble software;
- Attempt to derive source code;
- Extract underlying algorithms;
- Remove proprietary notices;
- Use Scofit trademarks without permission; or
- Represent Scofit's technology as your own.
You may use Scofit's trademarks and branding only with prior written permission.
11. Third-Party Software
Scofit may use third-party software, infrastructure, APIs, data sources and other technology in providing the Services.
Ownership of such third-party components remains with their respective owners or licensors.
Your use of third-party components may be subject to additional terms imposed by the relevant third-party provider.
12. Availability of Services
Scofit will use commercially reasonable efforts to maintain availability of the Services.
However, Scofit does not guarantee that the Platform or Services will always be:
- Available;
- Uninterrupted;
- Error-free;
- Secure from every possible threat; or
- Free from delays.
Services may be temporarily unavailable due to:
- Maintenance;
- Upgrades;
- Security measures;
- Infrastructure failures;
- Internet or telecommunications failures;
- Third-party service interruptions;
- Power failures;
- Natural disasters;
- Weather events;
- Fire;
- Flood;
- Strikes;
- Government actions;
- Civil disturbances;
- Acts of war;
- Acts of God; or
- Other circumstances beyond Scofit's reasonable control.
13. Service Modifications
Scofit may modify, update, suspend or discontinue any part of the Platform or Services from time to time.
Changes may include:
- New features;
- Removal of features;
- API version changes;
- Product changes;
- Security changes;
- Technical changes;
- Pricing changes; or
- Changes required by third-party providers or applicable law.
Where reasonably practicable, Scofit may provide advance notice of material changes affecting customers.
14. Accuracy of Information
Scofit seeks to provide reliable technology and information but does not warrant that all information available through the Platform or Services will always be accurate, complete or current.
Where information is obtained from third-party sources, Scofit may not independently verify every item of information.
Customers are responsible for implementing appropriate procedures and checks to determine whether information received through the Services is suitable for their particular business, legal, financial, credit or operational decisions.
Scofit's Services are technology tools and do not constitute legal, tax, accounting, investment or financial advice unless expressly stated otherwise.
15. Lending and Credit Decisions
Where Scofit provides credit, financial, risk, verification or other information that may be used in lending or underwriting workflows, such information is provided as a technology and information service.
Scofit does not make lending decisions on behalf of a Customer unless expressly agreed under a separate written agreement.
The Customer remains responsible for:
- Its lending policies;
- Credit decisions;
- Underwriting rules;
- Regulatory compliance;
- Customer communications;
- Required notices;
- Consent management; and
- Compliance with applicable lending and financial regulations.
The Customer should independently assess whether information obtained through Scofit is appropriate for the relevant decision.
16. Data Accuracy and Third-Party Information
Scofit may provide information obtained from external databases, government sources, financial institutions, credit information companies, verification providers or other third parties.
Scofit does not guarantee that such information will always be:
- Complete;
- Accurate;
- Current;
- Available; or
- Suitable for a particular decision.
Customers must apply their own verification, validation and decision-making procedures where appropriate.
17. Confidentiality
Each party may receive confidential information from the other party during the course of a business relationship.
The receiving party shall use reasonable measures to protect confidential information and shall not disclose it except:
- To authorised personnel;
- To professional advisers;
- To service providers who require such information;
- Where required by law; or
- With the other party's consent.
Confidentiality obligations do not apply to information that:
- Is publicly available without breach;
- Was already lawfully known;
- Is independently developed; or
- Is lawfully received from another source without confidentiality restrictions.
Where the parties have entered into a separate NDA or confidentiality agreement, that agreement shall govern confidentiality matters to the extent of any conflict.
18. Security
You are responsible for maintaining appropriate security within your own systems, including:
- API credentials;
- Passwords;
- Access tokens;
- User accounts;
- Devices;
- Internal systems;
- Network security; and
- Authorised user access.
You must notify Scofit promptly if you become aware of:
- Unauthorised access;
- Credential compromise;
- Security vulnerabilities;
- Data breaches involving Scofit Services; or
- Other security incidents affecting the Services.
19. Fees, Billing and Taxes
Certain Scofit Services may be provided for fees.
Where applicable:
- Fees shall be communicated through the applicable commercial arrangement, order form, pricing schedule or agreement;
- Customers are responsible for applicable taxes unless otherwise stated;
- Usage-based Services may be billed based on actual usage or agreed commercial terms;
- Customers shall pay invoices within the agreed payment period; and
- Additional fees may apply for specific products, integrations, support levels or usage volumes.
Unless otherwise agreed in writing, fees paid for Services are non-refundable except where required by applicable law or expressly provided under the applicable commercial agreement.
20. Cancellation
Customers may request cancellation of applicable Services in accordance with their commercial agreement.
Cancellation may be subject to:
- Contractual notice periods;
- Outstanding payments;
- Minimum commitments;
- Product-specific terms; and
- Other agreed commercial conditions.
Termination or cancellation does not automatically relieve the Customer from payment obligations that accrued before termination.
21. Refund Policy
Unless otherwise expressly agreed in writing or required by applicable law, fees paid for Services are non-refundable.
Any refund or credit will be governed by the applicable order form, commercial agreement or written arrangement between Scofit and the Customer.
22. Shipping and Delivery
Scofit primarily provides digital, software, API and technology-enabled Services.
Accordingly, physical shipping or delivery is generally not applicable.
Where any physical product or document delivery is specifically agreed, the applicable commercial terms shall govern.
23. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Platform and Services are provided on an "as available" and "as is" basis.
Scofit does not warrant that:
- The Services will always be uninterrupted;
- The Services will be error-free;
- All information will be accurate or complete;
- Third-party services will always be available;
- The Platform will meet every particular requirement;
- The Services will produce a particular business outcome; or
- Any specific financial, lending, credit, fraud or operational result will be achieved.
You acknowledge that technology services may be affected by third-party systems, internet connectivity, data availability and other factors outside Scofit's reasonable control.
24. Limitation of Liability
To the maximum extent permitted by applicable law, Scofit and its directors, officers, employees, affiliates, licensors and service providers shall not be liable for indirect, incidental, special, punitive, exemplary or consequential damages, including loss of profits, revenue, business opportunities, goodwill, data or anticipated savings arising from or related to use of the Platform or Services.
Scofit shall not be liable for losses arising from:
- Temporary service interruption;
- Scheduled maintenance;
- Third-party service failures;
- Internet or telecommunications failures;
- Customer system failures;
- Customer misuse;
- Unauthorised access resulting from Customer security failures;
- Inaccurate information provided by third parties;
- Customer decisions based on information received through the Services; or
- Events beyond Scofit's reasonable control.
To the extent permitted by applicable law and unless otherwise agreed in writing, Scofit's aggregate liability arising from a Service shall not exceed the fees actually paid by the Customer to Scofit for that particular Service during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms shall exclude or limit liability that cannot lawfully be excluded or limited under applicable law.
25. Indemnification
You agree to indemnify and hold harmless Scofit, its directors, officers, employees, affiliates, licensors and service providers from claims, losses, liabilities, damages, costs and expenses arising out of or relating to:
- Your access to or use of the Platform;
- Your violation of these Terms;
- Your violation of applicable law;
- Your misuse of the Services;
- Your Customer Data;
- Your failure to obtain required permissions or consents;
- Your infringement of third-party rights;
- Your products or services;
- Your lending, financial or business decisions; or
- Claims arising from your customers or users in connection with your use of the Services.
26. Third-Party Websites and Services
The Platform may contain links to third-party websites, applications or services.
Scofit does not control such third parties and is not responsible for:
- Their content;
- Their privacy policies;
- Their security;
- Their availability;
- Their products or services; or
- Any losses resulting from their use.
Your use of third-party services is subject to the terms and policies of the relevant third party.
27. Suspension and Termination
Scofit may suspend or terminate your access to all or part of the Services if:
- You breach these Terms;
- You fail to pay applicable fees;
- Your use creates a security risk;
- Your use creates legal or regulatory risk;
- Fraudulent or abusive activity is suspected;
- You misuse the APIs;
- You violate applicable law;
- A third-party provider requires suspension; or
- Continued access is otherwise reasonably determined to be inappropriate.
Where reasonably practicable, Scofit may provide notice before suspension or termination.
You may stop using the Services at any time, subject to any applicable commercial agreement.
Upon termination:
- Your access credentials may be disabled;
- API access may be revoked;
- Outstanding payment obligations remain payable;
- Confidentiality obligations continue where applicable;
- Intellectual property provisions survive; and
- Other provisions intended by their nature to survive termination shall remain effective.
28. Data After Termination
Following termination, Scofit may retain information for the period reasonably necessary to:
- Comply with applicable law;
- Meet regulatory requirements;
- Resolve disputes;
- Maintain business records;
- Prevent fraud;
- Enforce contractual rights; and
- Fulfil legitimate security and operational requirements.
Handling of personal information shall also be subject to the Scofit Privacy Policy and applicable law.
29. Compliance With Laws
You agree to comply with all laws and regulations applicable to your use of the Services.
Depending on your business and use case, this may include requirements relating to:
- Data protection;
- Privacy;
- Consumer protection;
- Financial services;
- Lending;
- KYC;
- AML;
- Fraud prevention;
- Electronic signatures;
- Electronic records;
- Telecommunications;
- Marketing communications; and
- Other applicable regulatory requirements.
Scofit does not represent that use of its Services alone will make a Customer compliant with every legal or regulatory obligation applicable to its business.
30. Force Majeure
Scofit shall not be responsible for delays or failure to perform obligations caused by circumstances beyond its reasonable control, including:
- Natural disasters;
- Flood;
- Fire;
- Earthquake;
- Epidemic or pandemic;
- War;
- Terrorism;
- Riots;
- Civil unrest;
- Government actions;
- Strikes;
- Power failures;
- Internet failures;
- Telecommunications failures;
- Cyber incidents affecting third-party infrastructure; or
- Failure of third-party service providers.
31. Conflicting Terms
If a Customer has entered into a separate written agreement, order form, Master Services Agreement, API agreement, Data Processing Agreement, Service Level Agreement or other commercial agreement with Scofit, the terms of that agreement shall prevail over these Terms to the extent of any conflict.
Product-specific terms may also apply to particular Services.
32. Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of India.
Subject to applicable law, any dispute arising out of or relating to these Terms, the Platform or the Services shall be subject to the jurisdiction of the courts having competent jurisdiction in Indore, Madhya Pradesh, India.
33. Entire Agreement
These Terms, together with any applicable commercial agreement, order form, product-specific terms, Privacy Policy and other expressly incorporated documents, constitute the agreement governing your use of the Platform and Services.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Failure by Scofit to enforce any provision shall not constitute a waiver of that provision.
34. Changes to These Terms
Scofit reserves the right to modify, update or replace these Terms from time to time.
Where a change is material, Scofit may provide reasonable notice through the Platform, email or other appropriate means.
The revised Terms will become effective when published or on the effective date specified in the revised Terms.
Your continued use of the Platform or Services after the effective date of revised Terms constitutes your acceptance of the revised Terms to the extent permitted by applicable law.
